The Short Version
You own your customers. You own the money they owe you. You stay the only one they owe. WrenchCash is the tool that answers your phone, keeps track of who owes what, and helps your customers pay you. Payments go straight to your own account. We never hold your money.
This Dealer Agreement is the contract between you and WrenchCash LLC for the paid WrenchCash service. Please read all of it. The short version above is a summary, not a replacement.
1. Who Is Who
- WrenchCash, we, us means WrenchCash LLC, a Wyoming limited liability company.
- You, the dealer means the person or business that signs up, and every truck, route and login under that account.
- Your customers means the people who buy from you and anyone who calls or texts your business.
- The assistant means the AI voice agent that answers your calls. Today she is named Wren.
- The service means the assistant, the dealer portal, texting, payment links and everything else we provide to you.
- Your order means the plan, prices and setup fee shown to you and accepted by you at signup.
2. What WrenchCash Is, and What It Is Not
WrenchCash is a first-party accounts-receivable tool. It helps you follow up on your own accounts with your own customers, in your own name.
WrenchCash is not any of these:
- a debt collector, a debt buyer, or an agency that follows up on accounts for other people
- a lender, a bank, or a payment processor
- a credit bureau or a credit reporting service
- a law firm. Nothing we tell you is legal advice.
WrenchCash is not connected to, sponsored by, or approved by any tool distributor or franchisor. The service does not log in to, read from, or write to your distributor's software. You upload your own files, and you keep your own distributor records up to date, including any payment taken through the service.
3. You Are the Only Creditor
- Every account worked through the service is money owed to you, for goods or services you sold.
- Nothing in this agreement sells, assigns or transfers any account, balance or debt to WrenchCash. We get no ownership interest in what your customers owe you.
- Every call, text and message through the service goes out in your business's name. The assistant speaks as your truck. She does not speak as WrenchCash.
- You make every decision about your accounts: who to follow up with, what payment to accept, when to stop, and what to do if a customer does not pay.
- You may only use the service for accounts you own as the original seller. You may not use it for accounts you bought from, or are working for, someone else.
The assistant does not threaten, does not argue a dispute, and does not make promises about what you will do. If a customer disputes a balance or asks a question she cannot answer, she passes it to you.
4. How Your Customers Pay You
- Card payments made through the service are charged on your own Stripe account. To take payments you must set up that account with Stripe and accept Stripe's Connected Account Agreement. Stripe, not WrenchCash, is the payment processor.
- The money goes from your customer to your Stripe account and then to your bank. WrenchCash never receives, holds or controls your customers' payments.
- Our fee: WrenchCash takes a platform fee of 2% of each payment made through the service. It is taken automatically at the time of the payment.
- Stripe's fee: Stripe charges its own processing fee on each payment. That fee is charged to you by Stripe and is separate from our 2%.
- Why Stripe. The service runs on Stripe and only Stripe. Payment links, payment plans, receipts and your payouts are all built on Stripe, and Stripe meets the card industry's highest security level (PCI Level 1), so full card numbers never pass through WrenchCash. Stripe is not the cheapest processor. It is the one that can do everything we need it to do, safely. You cannot connect a different processor, including one you use today. Any other processor or card reader you have can keep running your sales outside the service.
- Refunds, disputes and chargebacks are yours. You decide refunds. Refunds and chargebacks come out of your Stripe balance. You answer any dispute with your customer or their card company.
- Fees are not returned on a refund. If you refund a customer, WrenchCash keeps its 2% on that payment, and Stripe keeps its processing fee.
- Payment plans: when a customer agrees to a scheduled payment plan, the plan is an agreement between you and your customer. You stand behind its terms, and you are the one who cancels or changes it.
- Minimums: the service will not set up a payment below the minimum amounts shown in your account.
Cards on file. When a customer wants to pay with a card you already have on file, the assistant asks only for the last four digits and sends them to you so you can run the card yourself. You are responsible for having your customer's permission to keep and charge that card, and for keeping card details safe. The assistant never asks for a full card number, and WrenchCash does not store card numbers.
5. What You Pay WrenchCash
- You pay the monthly price and the one-time setup fee in your order. Payment is due at signup, before your account is turned on.
- Your plan renews each month and is charged automatically to the card you gave us, until you cancel.
- If your plan includes a set number of assistant minutes, use above that amount is billed at the rate in your order.
- Refills. When a truck gets down to its last 10 assistant minutes for the month, a refill of 75 more minutes is charged automatically to the card you gave us, at the refill price in your order. We text you each time. If the refill cannot be charged, calls to that truck's number ring your own phone until you add minutes. Every call the assistant answers counts toward your minutes, including short spam calls.
- A discount or promotion code changes your price only as stated in the code's terms.
- If a payment to us fails, we will tell you. If it is not fixed within 10 days, we may pause your service.
- We may change prices. We will email you at least 30 days before a change applies to you.
- Prices do not include any sales or use tax that applies.
Free trial minutes. Each truck's setup includes 250 free assistant minutes. They start when that truck's number goes live and end 30 days later or when they are used, whichever comes first. They have no cash value, are not refundable, and cannot be carried over, transferred, or exchanged for credit.
Referral rewards (Nitro Bucks). If we offer a referral rewards program, these terms apply to it. Nitro Bucks are earned only when a dealer you refer pays and stays active for 60 days. Referring your own trucks does not count. Nitro Bucks can only be used for rewards we offer. They have no cash value, cannot be traded for service credit or cash, cannot be transferred, and expire 12 months after they are earned. Rewards are capped at $1,500 in value per truck and $1,999 per owner per calendar year. We may change or end the program at any time. You are responsible for any taxes on rewards you receive.
Refunds from WrenchCash. Setup work and outside costs start as soon as you sign up, so refunds are limited to these cases:
- If we turn your account down before it is set up, we refund everything you paid.
- If we cannot deliver part of the service, for example because the phone carriers or Stripe will not approve your business, we will work with you to fix the problem and try again, more than once if needed. If it still cannot be done, you choose: keep the service at the same price, or cancel within 14 days of us telling you and get your setup fee back, less 10% of it, which we keep for the setup work already done.
- If you change your mind, there is no refund. That is true in the first 30 days and after.
- Monthly fees are not refunded, and a cancelled month is not prorated. See Section 16.
- When an account closes, any assistant minutes you used and have not yet paid for are charged at that time.
6. Calls
- Every call rings your phone first, and you decide. Answer it yourself, or decline it or let it ring and the assistant picks it up. She can ring the caller back through to you, and you decide again. You set this up once on your own phone with conditional call forwarding (missed and declined calls only) to the number we provide, and you can turn it off at any time. Never forward all of your calls to that number. Your phone would never ring, and the assistant could not ring a call through to you, because your phone would send it straight back to her.
- The assistant is optional. Every paid truck gets its own number and setup either way. When the assistant is off for a truck (no free trial minutes and no plan, or no minutes left), calls to that truck's number ring your own phone instead. If your phone forwards calls to that number, turn forwarding off while the assistant is off.
- The number we provide stays in WrenchCash's account. Your customers keep calling the number they already know, which is yours.
- The assistant's greeting tells callers that an AI is answering. You may not ask us to remove that.
- Calls are recorded and written out as text. A summary of each call is sent to you. Recordings and transcripts are kept so you can review calls and so we can fix problems.
- The assistant works from the files you upload. If a file is out of date, what she tells a caller will be out of date. Keeping your files current is your job.
- The assistant is software. She can mishear, misunderstand or make a mistake. Check anything important before you rely on it.
- The service is not for emergencies and cannot call emergency services.
7. Texting Your Customers
- Phone carriers require every business that texts customers to be registered. You authorize WrenchCash to register your business with the carriers and their registration services, using your business name, tax ID, address and contact details.
- Registration is decided by the carriers. It can take up to about two weeks, and it can be turned down. We do not control that. If it is turned down, we will fix what we can and submit it again.
- Until your registration clears, the service will not text your customers. Calls work from day one, and the assistant can text you from day one.
- Once you are cleared, texts to your customers come from your own registered number, in your business's name.
- Every customer can stop texts at any time by replying STOP. You may not try to get around a customer's STOP.
8. Your Customers' Permission
The law requires a person's permission before a business sends them automated or AI calls or texts. That permission is given to you, and keeping proof of it is your job.
- You promise that you have permission from each customer you ask the service to call or text.
- You keep the proof, such as signed receipts or signup records, and you will show it to us or to a regulator if asked.
- The service records the permission a customer gives on a call or through your signup page, and it will not go ahead on a call without it.
- When a customer says stop, it is final. If a customer tells you or the assistant to stop contacting them, you will not use the service to contact that customer again. The service keeps a Do Not Contact list for you and will not text a number on it.
- The service has limits on when and how often contact goes out. They are listed in section 12. They are a help. They do not replace your own duty to follow the law.
- You promise you have the right to upload every file and every piece of customer information you put into the service.
9. Data
- Your data is yours. That includes your files, your customer list, your call history and your settings.
- You give us permission to store and use that data only to run the service for you.
- We do not sell your data or your customers' data. We do not use it for advertising.
- Your customers do not get a login to WrenchCash. They are your customers, and they deal with you.
- We use outside companies to run the service, such as cloud hosting, phone, voice and payment providers. They are listed in our Privacy Policy.
- Each dealer's data is kept apart from every other dealer's by dealer number.
- We look at your data only to run, support or protect the service. We keep an internal record of when we do, and we will share it with you if you ask.
- Do not enter Social Security or driver's license numbers until WrenchCash turns on the feature built for them on your account. Never enter full card numbers.
- You can ask for a copy of your data at any time.
- How long we keep things is described in the Privacy Policy. After you cancel, we delete your account data within 30 days unless the law requires us to keep it.
10. Your Account, Your People, Your Trucks
- You are responsible for everyone who uses your login or a login under your account, including employees, drivers, family and admins you approve.
- Keep your password private. Tell us right away if you think someone else has it.
- More than one truck: the owner account is responsible for every truck under it. Each truck has its own number, its own files and its own customer permissions. Payments from every truck go to the owner's payout account.
- If a truck is removed, its number is released and its data is handled the same way as a cancelled account.
- The information you give us at signup must be true and must be kept current.
11. Rules for Using the Service
You agree not to use the service to:
- threaten, harass or mislead anyone
- say anything false about a balance, a deadline or what will happen if someone does not pay
- contact a customer who has opted out
- contact anyone you do not have permission to contact
- work accounts that are not yours
- break any federal or state law
- resell the service or let another business use your account
If you break these rules we may pause or end your account. See Section 16.
12. Following the Law Is Your Responsibility
You run your business, and you are responsible for following the laws that apply to it, in every state where you work. That includes the rules on automated calls and texts, call recording, and how a business may follow up on money it is owed.
The contact limits. The service is built around these limits, and you agree to stay inside them every time you use it to reach a customer:
- Permission first. No automated or AI call or text goes to a customer who has not given permission.
- Hours. Contact goes out only between 8:00 in the morning and 9:00 at night, in the customer's own local time. The service goes by the time zone your truck works in. Outside those hours it does not send reminder texts. It holds them until 8:00 in the morning, or tells you to send them then.
- How often. No more than 7 reminders to one customer account in any 7 days in a row. The service counts the reminder texts you send and warns you when a customer is at the limit. It does not stop you. Staying under the limit is your job. A payment link a customer asks for on a call he made does not count, and neither does a birthday message.
- Stop means stop. A customer who asks not to be contacted is not contacted again.
- No arguing. If a customer says they do not owe the money, the assistant does not argue. It passes the question to you.
Some states set tighter limits than these. Where they do, you follow the tighter one.
We keep a record. WrenchCash keeps a record of when an account goes over the limit. If your account goes over two weeks in a row, we will send you a notice. If it keeps happening, we may pause your texting or end your account (see section 16).
What breaking these rules can cost. Federal law lets a person sue for $500 for each call or text sent without permission. A court can raise that to $1,500 each if the sender knew better. It is counted per call and per text, and these cases are often brought as class actions. State laws can add more. Those costs are yours, not WrenchCash's (see section 15).
The service has guardrails built in to help. We do not promise that using the service makes you compliant with any law. If you have a legal question, ask your own attorney.
13. What We Do Not Promise
- We do not promise that any customer will pay you, or how much you will recover.
- We do not promise the service will be up every minute or free of errors. We work to keep it running and to fix problems quickly.
- The service depends on phone carriers, Stripe and other providers we do not control.
- Except for what this agreement says, the service is provided "as is."
14. Limit on Liability
To the fullest extent the law allows, neither side is liable to the other for indirect, special or consequential damages, or for lost profits.
The most WrenchCash can owe you, for everything connected to this agreement added together, is the amount you paid WrenchCash in the 12 months before the claim came up.
These limits do not apply where the law does not allow a limit.
15. If Someone Makes a Claim
You agree to cover WrenchCash for claims, losses and costs, including reasonable attorney fees, that come from:
- the accounts you work through the service, or any dispute with your customers about what they owe
- contacting someone without the permission the law requires
- data you uploaded without the right to use it
- how you, your staff or your admins used the service
- breaking this agreement or the law
16. Cancelling, Pausing and Ending
- No long-term contract. You can cancel at any time from your account or by emailing us.
- No refund for a cancelled month. When you cancel, the month you already paid for is not refunded and is not prorated. You are not charged again.
- We may pause or end your account if you break this agreement, if a payment to us stays unpaid, if your account keeps going over the contact limits in section 12, or if we believe the service is being used to harm someone. Where we can, we will tell you first and give you a chance to fix it.
- When an account ends: the assistant stops answering, your texting registration is turned off, and your portal login is closed. Turn off call forwarding on your phone right away so your calls ring through to you. The number we provided is released about 30 days later.
- Your Stripe account is yours and stays with you. Any payment plans running on it are yours to keep or cancel.
- You can ask for a copy of your data before or within 30 days after the account ends.
17. Changes to This Agreement
We may update this agreement. We will email you at least 30 days before a change that matters takes effect. If you do not agree, you can cancel before that date. Each version has a number and a date, and we keep a record of which version you accepted and when.
18. The Fine Print
- Which state's law applies: Wyoming.
- If we have a dispute, we talk first. Either side must tell the other in writing what the problem is and give 30 days to work it out before going to court.
- Where a dispute is heard: if it is not worked out, it goes to the state or federal courts serving Sheridan County, Wyoming, and both sides agree to that. A claim small enough for small claims court can be brought there.
- No jury: both sides give up the right to a jury trial, as far as the law allows.
- Time limit: a claim must be brought within one year of when it came up.
- What counts as our deal: this agreement, the plan you picked at signup, our Terms of Service and our Privacy Policy. Nothing else. If two of them say different things, the plan you picked wins first, then this agreement, then the Terms.
- Signing: checking the box and continuing at signup is your signature. We record the version you accepted and when. The current agreement is always available in your portal.
- Notices: we send notices to the email on your account. You send notices to info@wrenchcash.io.
- Handing it off: you may not hand this agreement to someone else without our written OK. If WrenchCash is sold or merged, this agreement goes with it.
- Separate businesses: you and WrenchCash are separate businesses. Neither one works for the other or can sign for the other. The one exception: the assistant speaks for your business on calls, the way you set her up to.
- If one part of this agreement cannot be enforced, the rest still applies.
